The terms of service for Work Collaboration Review

(The terms of service for Work Collaboration Review are drafted in Japanese and English. This English version is for reference only and in the event of any inconsistency between the Japanese and the English versions, the Japanese version shall prevail.)
The terms of service for Work Collaboration Review (hereinafter referred to as "the Terms") set out the usage guidelines which applicants and organizations using the service (hereinafter referred to as "Your Organization" or "You") should observe when using the Work Collaboration Review (hereinafter referred to as "the Service" and defined in Article 2) provided on the site (Referred to in Article 2) specified by Scholar Consult Co., Ltd. (hereinafter referred to as "We"/"Our"/"Us".)

Article 1 (Definition)

1 A use applicant refers to a person wishing to use the Service specified in Article 2.
2 "Your Organization" refers to a corporation, or to a public or other organization which has at least 10 members, which has received Our acceptance for use of the Service.

Article 2 (Details of the Service, changes, etc.)

The "Service" refers to a special page for the Work Collaboration Review, which is set up on a website We, or Our affiliated corporation operate and manage (https://www.workcollaboration.jp. Hereinafter referred to as "This Site"), whereby We tally up information of individual responses to a questionnaire survey from members of Your Organization who log in to/from This Site (hereinafter referred to as "Response Information") and provide Your Organization with a summary of the information so obtained (hereinafter referred to as "Summary Information".)
We may add or change the details of the Service or discontinue and terminate the Service, in whole or in part, at our discretion and without prior notification or contact to Your Organization.

Article 3 (Application)

The Terms apply to any and all acts when use applicants and/or Your Organization use the Service. If any of the rules which we separately specify contain provisions which differ from those specified in the Terms, the provisions of the Terms shall prevail.
The Terms are intended to specify conditions of use of the Service, and Your Organization shall use the Service subject to the Terms. Use of the Service implies agreement to comply with all the provisions set forth in the Terms.
Your Organization shall ensure Your own members and those responding to questionnaire surveys of the Service comply with the provisions of the Terms at Your own responsibility.

Article 4 (Change of the Terms)

We may revise or change the Terms at Our own discretion without prior notification to Your Organization. Any change to the Terms shall take effect following notification of the change on This Site, unless otherwise specified by Us.
Your use of the Service, once any change to the Terms comes into effect, implies Your agreement with all the contents set forth in the revised Terms.

Article 5 (Handling of personal information)

We shall handle personal information obtained upon provision of the Service appropriately in compliance with the "Privacy Policy" and "Handling of Personal Information in the Work Collaboration Review" set forth separately, to which Your Organization shall agree.

Article 6 (Use of the Service)

1 Use applicants shall, after agreeing to all the Terms, apply for use of the Service by the method we specify so as to register their address, name of organization, telephone number and other relevant information (hereinafter referred to as "Registration Information".)

2 Use applicants shall use the Service for the purpose of viewing the situation of their own organization or team.

3 Use applicants are deemed to have agreed to questionnaire information such as Registration Information, Response and Summary Information, etc. (hereinafter referred to as "Questionnaire Information") referred to, accessed and copied by us, by Our affiliate company or by the advertising companies, etc. to which We outsource.

4 Use applicants are deemed to have agreed to notification of new services, implementation of various questionnaires, delivery of adverts, administrative correspondences for service operation and other information provision conducted by us, by Our affiliate company or advertising companies, etc. to which we outsource, based on the registration information.

Article 7 (Non-acceptance of application for use)

We may reject applications to use the Service for use applicants coming under any of the following categories:

1. When We assume that the requirement of being a corporation, public or other organization with at least 10 members is not satisfied
2. When the use applicant has previously been subject to the sanction of withdrawal due to violation of the Terms or other rules by Us.
3. When We consider that the use applicant is ineligible for any other reasons

Article 8 (Withdrawal)

1 When You wish to withdraw from use of the Service, please apply for withdrawal using the method We specify.

2 We may reject Your use of the Service by canceling your membership at Our own discretion if any of the following apply:

1. Violation of the terms or any other rules
2. We deem your membership inappropriate for any other reasons in Our own evaluation and without any obligation on Us to provide reasons therefor.

Article 9 (Service charge)

Use of the Service is free of charge. However, when We engage in individual hearing work, analyzing/diagnosing questionnaire results, implementing various human resources training programs, organizational climate consulting, workshop, training sessions, lectures, etc. (hereinafter referred to as "Other Services") in addition to the Service, we shall provide Other Services for profit by concluding an individual agreement therefor with Your Organization.

Article 10 (Management of log-in ID and password)

1 You shall manage the log-in ID and password We assign after registration of Your information.
2 You shall not pass on the log-in ID and password which We issue to any third party by transferring, lending, changing ownership, trading the same or any other form.
3 The entire responsibility for management and use of the log-in ID and password which We assign shall remain with Your Organization.
4 We shall assume no responsibility for any loss or damage incurred from any third party due to negligence or theft, etc. concerning the log-in ID and password used by Your Organization, regardless of whether attributable to Your Organization or for any other reasons.

Article 11 (Arrangement of use environment)

1 You shall appropriately install all equipment, software and communication methods required to use the Service under Your own responsibility and at Your own expense.
2 You shall take security measures such as preventing computer virus infections, unauthorized access, information leaks, etc. according to Your own use environment.
3 We shall have no involvement in and assume no responsibility for Your use environment.

Article 12 (Your responsibility)

You shall use the Service at Your own responsibility and assume full responsibility for all acts engaged in and consequences thereof while using the Service, for which We disclaim all liability.

Article 13 (Prohibited acts)

1 While using the Service, You must refrain from committing any of the following acts listed from A to G:

1. Any act which infringes - or may infringe – on the intellectual property rights (copyright, trademark rights, etc.), proprietary rights, privacy rights or portrait rights of Us or any other third party.
2. Any act which discriminates or defames Us or others, encourages discrimination against others or damages Our or other's reputation or confidence.
3. Any criminal act, or act which is or may be associated with or give rise to significant risk of allegation of crime.
4. Any act which breaches or may breach laws and regulations, public order and morals, or contractual terms
5. Any act which hinders efforts to ensure the security of Your Organization
6. Any act of transmitting or posting harmful programs, etc. such as viruses, etc. Any act which breaches or may breach the law within Japan and that of the country where the network equipment is installed.
7. Any other act which We deem inappropriate.

2 If We suspect You have committed any of the acts of A to G as above, We may terminate Your use of the Service and delete Your Questionnaire Information, in whole or in part, without prior notice.
3 Although You may incur damage due to suspension of use of the Service or deletion of the information pursuant to the preceding paragraph, We shall assume no responsibility for Your Organization. If You breach a Term willfully or negligently and the breach results in a loss incurred by Us or any related third party, You shall compensate Us for our loss.

Article 14 (Use, etc. of Response and Summary Information, etc.)

We retain copyright to the Response and Summary Information and reserve the right to freely use the same. You shall agree to publication of the Response and Summary Information after it has been statistically processed into a form preventing identification of the name of your organization. We shall approve Your use of Summary information.

Article 15 (Rights of deletion of information, etc.)

We reserve the right to delete information, in whole or in part, modify disclosed information and adopt any other measures, regardless of any illegality of Registration Information, Response Information and any other information on reasonable grounds e.g. in response to a notification from a public agency or expert or claim for infringement by a rights holder, etc.

Article 16 (Disclaimer)

1 We shall not be involved in any communications and activities within Your Organization. If any conflict arises between Your Organization and a member or among members in Your Organization as a result of the Service, it shall be settled by Your Organization at Your own responsibility, for which we assume no responsibility and You will indemnify and hold Us harmless from any loss or damage arising therefrom.

2 We shall not assume any obligation to store individual Response Information on behalf of Your Organization.
3 Even if members of Your Organization are identified by the Service, We shall not assume responsibility for the same.
4 We shall assume no responsibility for any damage or loss caused by addition or modification of the contents of the Service or interruption or termination of the same. The same shall apply in the event of any damage or loss incurred due to a decrease in display speed or any other failure of the Service caused by excessive user access or any other unexpected factor.

5 We reserve the right to disclose the contents of questionnaire information to third parties in any of the cases A to E listed below. We shall assume no responsibility for any loss or damage involved or incurred by Your Organization.

1. When it is necessary to determine the cause of and resolve any technical failure of the Service.
2. When requested by statute from public agencies such as courts, police, etc.
3. When an act which breaches or may breach the Terms was committed and We anticipate the need to confirm the contents of the Questionnaire Information.
4. When there is imminent danger to human life, body and property and We acknowledge such urgent need in our own judgment and discretion.
5. When any other need arises to operate the Service appropriately.

6 We shall assume no responsibility for any loss or damage incurred by Your Organization caused by the compulsory withdrawal or deletion of the Questionnaire Information, in whole or in part, and any change in publication scope, etc. based on the Terms or other rules.

Article 17 (Governing law)

The terms shall be governed and construed in accordance with the laws of Japan.

Article 18 (Court of jurisdiction)

In the event of any dispute between Your Organization and Us, the Tokyo District Court shall be the first and exclusive court of jurisdiction.
